STANDARD TERMS AND CONDITIONS OF SALE – V3LOCITY GLOBAL (UGANDA)

Precedence and Applicability
The client expressly waives reliance on any of its own general terms and conditions, whether issued before or after these terms. Any deviation or amendment to these terms shall only be valid if expressly agreed in writing by an authorised officer of V3locity Global.

Payment Terms
Unless otherwise stated on the invoice or agreed in writing, all invoices are payable within 21 working days from the date of issue. Late payment shall attract interest at a fixed rate of 10% per annum on the outstanding balance, calculated from the due date until payment is made in full. V3locity Global reserves the right to suspend service delivery, with or without notice, until all outstanding amounts are cleared.

Default and Recovery
If payment remains overdue for more than sixty (60) days, V3locity Global may, at its discretion, engage a licensed debt recovery firm or pursue legal action. The client shall be fully liable for all costs incurred in debt recovery, including legal fees and court costs on a full indemnity basis.

Withholding Taxes
In the event that the client is subject to any statutory withholding under local tax laws, such taxes shall be borne by the client and remitted to the relevant tax authority. V3locity Global must receive the full invoiced amount, exclusive of any local tax deductions. The client undertakes to furnish a withholding tax certificate within 30 days of payment.

Service Delivery and Limitation of Liability
V3locity Global undertakes to perform services with reasonable skill, care, and diligence, in line with industry standards. However, unless expressly stated otherwise in writing, all obligations are deemed to be obligations of means and not of result.
V3locity Global shall not be held liable for indirect, incidental, or consequential losses. Under no circumstance shall V3locity Global be compelled to indemnify or join proceedings in which the client is sued by a third party, including but not limited to the client’s own clients or consumers.

Complaints and Dispute Resolution
Any complaints regarding services or deliverables must be submitted in writing via registered mail to V3locity Global’s head office within 8 calendar days of delivery or completion. Failure to lodge a complaint within this period shall constitute unconditional acceptance.

Force Majeure
V3locity Global shall not be liable for any delay or failure to perform any part of the contract resulting from circumstances beyond its reasonable control, including but not limited to acts of God, war, civil unrest, government restrictions, internet or power failures, pandemics, or natural disasters.

Governing Law and Jurisdiction
These terms and all contractual relations with V3locity Global shall be governed exclusively by the laws of the Republic of Uganda. Any dispute arising shall be subject to the exclusive jurisdiction of the courts of Uganda, with the High Court of Uganda having first-instance jurisdiction.
